General Terms and Conditions (GTC)

1. Scope

All deliveries and services are provided exclusively on the basis of the following terms and conditions.
Any deviating terms of the customer shall not apply unless we have expressly agreed to them in writing.

By accepting the goods, you agree to these terms and conditions.

2. Offers and Prices

All offers are subject to change and non-binding. A contract is only concluded upon our order confirmation or delivery.

Prices valid on the date of delivery shall apply.
All prices are stated in euros and are exclusive of applicable VAT.

We reserve the right to adjust prices in the event of unforeseen changes in costs (e.g. customs duties, taxes, currency fluctuations).

3. Delivery and Delivery Times

Delivery times are approximate and start once all order details have been clarified.

Unforeseen events such as force majeure, supply shortages or transport delays may affect delivery times. We will, of course, inform you accordingly.

Partial deliveries are permitted where reasonable.

Please accept goods that are ready for dispatch without delay. Otherwise, we reserve the right to store them at your expense.

4. Shipping and Packaging

Shipping is carried out at your expense and risk.

Packaging will be charged at cost unless already included in the product price and will not be taken back.

Special packaging requests (e.g. gift packaging) will be charged separately.

5. Payment Terms

(1) The payment terms individually agreed between the customer and us shall apply.

(2) Unless otherwise individually agreed, the purchase price shall be due for payment in full, without deduction, within 10 days from the date of invoicing and delivery or acceptance of the goods.

(3) We reserve the right, within the scope of an ongoing business relationship, to carry out deliveries, in whole or in part, only against advance payment. We shall declare such reservation no later than with the order confirmation.

6. Retention of Title

The delivered goods remain our property until all claims arising from the business relationship have been fully settled.

You are entitled to resell the goods in the ordinary course of business. Any resulting claims are hereby assigned to us in advance.

You are obliged to inform us immediately of any third-party access to goods subject to retention of title.

7. Product Information and Tolerances

Product images and descriptions are for guidance only and are non-binding.

For customized products (e.g. with branding), deviations in quantity of up to ±10% are standard in the industry and must be accepted.

Minor variations in color, material or finish may occur due to production processes.

8. Complaints and Warranty

Please inspect the goods immediately upon receipt.

Obvious defects must be reported without delay; hidden defects within 8 days of discovery.

In the case of justified complaints, we will provide replacement or repair, subject to availability.

Further claims are governed by statutory provisions.

9. Designs and Production Materials

Designs, artwork, tools and similar preparatory work will be charged separately, even if no order is placed.

Such items remain our property unless otherwise agreed.

10. Liability

We shall be fully liable in cases of intent and gross negligence, as well as in accordance with statutory provisions (e.g. Product Liability Act).

In cases of slight negligence, we are only liable for breaches of essential contractual obligations and limited to foreseeable, typical damages.

Liability for loss of profit or indirect damages is excluded to the extent permitted by law.

11. Software and Usage Rights

Software and documentation provided are subject to a non-transferable right of use for internal purposes only.

Any transfer to third parties requires our prior written consent.

12. Place of Jurisdiction and Applicable Law

The laws of the Federal Republic of Germany shall apply.

Place of jurisdiction is Krefeld, where legally permissible.
We are also entitled to bring legal action at your place of business.
